Archer’s Boeing Subsidiary Deal Moves Closer to Closing, Expanding Physical AI Push in Aerospace

Archer Aviation’s planned acquisition of Boeing’s Wisk Aero, SkyGrid and Insitu subsidiaries has cleared a key U.S. antitrust step, moving forward a deal that will combine autonomous aircraft, airspace software and AI into a comprehensive physical AI platform for aerospace and defense.

Archer reported the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act expired at 11:59 p.m. EDT on Sept. 18. The expiration satisfies one condition required to complete the transaction, though other regulatory approvals and customary closing conditions remain outstanding. Archer continues to expect the deal to close by the end of 2026.

What It Means

The companies announced the acquisition in August. Archer plans to combine its electric aicraft, unmanned aircraft and ZEE AI platform with Wisk’s autonomous flight technology, SkyGrid’s airspace-management software and Insitu’s uncrewed aircraft systems.

Archer said the businesses will add autonomy, sensing, flight-control and operational data to its ZEE AI platform and the combined system to be a physical AI platform spanning autonomous aircraft and the software used to manage them.

Wisk has developed six generations of electric vertical takeoff and landing aircraft and completed more than 1,700 flight tests.

SkyGrid develops software for managing automated airspace and coordinating aircraft traffic, while Insitu builds uncrewed aircraft used for intelligence, surveillance and reconnaissance.

Insitu has manufactured and fielded more than 3,500 aircraft and says its systems are used by armed forces in 35 countries. Together, Wisk, SkyGrid and Insitu have accumulated nearly 2 million flight hours, according to Boeing and Archer.

Archer noted that Boeing will remain connected to the technology after the sale through a collaboration and technology-sharing agreement. Boeing will retain access to Wisk’s autonomous flight technology for current and future commercial and defense aircraft and will also keep its stake in Archer.

Financial terms were not disclosed in the companies’ releases.
