Stryker to Invest $400M in CMR Surgical, Gains U.S. Sales Rights and Acquisition Option

Insider Brief

  • Stryker plans to invest approximately $400 million in British surgical robotics company CMR Surgical through a strategic alliance that gives it exclusive U.S. sales rights to CMR’s Versius robotic surgery systems and an option to acquire the company.
  • According to Stryker, the £300 million preferred equity investment will support further development and global commercialization of the Versius portfolio, while CMR will continue overseeing product development and sales outside the United States.
  • CMR’s second-generation Versius system uses a modular design to support soft-tissue surgical procedures in hospitals and ambulatory surgery centers, with the investment subject to regulatory approvals and customary closing conditions.

Stryker plans to invest approximately $400 million in British surgical robotics company CMR Surgical as part of a strategic alliance that gives the medical technology company exclusive U.S. sales rights to CMR’s Versius robotic surgery systems and an option to acquire the company.

According to Stryker, the preferred equity investment, valued at about £300 million, will support further development and global commercialization of CMR’s Versius portfolio, the companies announced Monday. The agreement also gives Stryker an exclusive option to acquire 100% of CMR’s outstanding equity in the future, subject to the agreement’s terms.

Under the partnership, Stryker will serve as the exclusive U.S. sales agent for Versius, while CMR will continue to oversee product development and commercialization outside the United States. The agreement marks Stryker’s entry into soft-tissue surgical robotics, expanding its presence beyond its existing endoscopy, visualization and other medical technologies businesses, the medical technology company said.

CMR’s second-generation Versius robotic system is designed to support a range of soft-tissue surgical procedures. Its modular architecture allows hospitals and ambulatory surgery centers to configure the system for different procedures and operating room environments.

The companies said the design is intended to help healthcare providers expand robotic-assisted surgery programs while working within existing operating room setups.

Stryker pointed out that CMR has established clinical experience with its technology in international markets, so the partnership will combine that experience with Stryker’s U.S. customer relationships and sales network to support wider adoption of the Versius platform.

“We have evaluated the segment carefully for years, and this alliance represents a thoughtful and disciplined entry that combines the complementary strengths of both companies,” said Andy Pierce, group president, medsurg and neurotechnology at Stryker. “We selected CMR Surgical and the Versius portfolio because of the opportunity to help healthcare providers grow robotic-assisted surgery adoption across a broad range of procedures in hospitals and ASCs.”

The transaction remains subject to regulatory approvals and customary closing conditions.

“Stryker’s investment will give us additional strength to accelerate innovation and the continued global expansion of the Versius portfolio, while its scale and deep customer relationships create a significant growth opportunity in the United States,” added CMR Surgical CEO Massimiliano Colella. “We also look forward to welcoming Andy Pierce to our board of directors and benefiting from his more than 30 years of MedTech leadership experience at Stryker as we continue expanding access to robotic-assisted surgery globally.”
