Cognex has agreed to acquire RealSense for about $500 million. The acquisition will extend its machine-vision portfolio into robotic perception, adding RealSense’s 3D depth-sensing technology to Cognex’s industrial identification and 2D and 3D vision systems.
According to Cognex, the deal will be financed entirely with Cognex’s existing cash and investments and is expected to close in the fourth quarter of 2026, subject to customary conditions. Cognex also plans a three-year cash retention program for RealSense employees valued at $56.5 million at target and restricted stock units worth about $50 million under its existing incentive plan.
RealSense develops depth-sensing cameras and vision technology used in fixed robotic arms, autonomous mobile robots, quadrupeds and humanoids. The company was founded by Intel in 2014 and spun out as an independent business in 2025.
“RealSense represents a compelling strategic expansion for Cognex into robotic perception, one of the most attractive adjacent markets in machine vision,” Cognex president and CEO Matt Moschner said in the announcement. “RealSense brings a leading 3D perception platform with proprietary technology, a strong developer community and a compelling value proposition for customers. Combined with Cognex’s machine vision expertise and global reach, RealSense positions us to offer a full-stack visual intelligence platform, spanning industrial ID, 2D and 3D machine vision measurement to 3D depth perception and robotic navigation, built to serve the full spectrum of Physical AI.”
RealSense is expected to generate between $80 million and $90 million in revenue in 2026, more than 50% higher than the previous year, according to Cognex. The company pointed out that the robotic perception market is currently about $600 million and is expected to reach roughly $1.6 billion by 2030.
Before the transaction closes, RealSense plans to spin out its Facial Authentication product line into a separate company. The new business will include the operations needed to continue developing and selling biometric authentication technology, Cognex said.
“RealSense was built on a simple idea: robots and autonomous systems can’t act intelligently in the physical world if they can’t first perceive it accurately,” added RealSense CEO Nadav Orbach. “We’ve called that mission the Visual Cortex of Physical AI. Joining Cognex puts that mission on an entirely new scale, giving us access to a global industrial customer base and go-to-market reach that would have taken us years to build on our own.”
