Agility Robotics Completes SPAC Merger Ahead of Nasdaq Debut

Insider Brief

  • Agility Robotics has completed its merger with Churchill Capital Corp XI and expects to begin trading on Nasdaq on Nov. 5 under the ticker AGLT, becoming what it says will be the only U.S. publicly listed pure-play humanoid robotics company with active commercial deployments.
  • Its Digit humanoid robot has logged more than 65,000 operating hours, with commercial customers including GXO, Schaeffler and Toyota Motor Manufacturing Canada, while additional deployments are planned for 2027.
  • Agility has secured more than $300 million in committed multi-year orders for its next-generation Digit 5, subject to contractual milestones, and operates a U.S. manufacturing facility designed to produce up to 10,000 robots annually.

Agility Robotics has completed its merger with special purpose acquisition company Churchill Capital Corp XI, clearing the way for the humanoid robot developer to begin trading on Nasdaq on Nov. 5. According to Agility, the transaction will make it the only U.S. publicly listed company focused exclusively on humanoid robotics with proven, active commercial deployments.

Its common shares are expected to trade under the ticker AGLT, while its warrants will trade under AGLTW.

Agility develops Digit, a humanoid robot designed to handle repetitive and physically demanding tasks in manufacturing, distribution and logistics facilities. The company counts as commercial customers GXO, Schaeffler and Toyota Motor Manufacturing Canada and it reports that its robots have accumulated more than 65,000 hours of real-world operation.

GXO recently agreed to add Digit at two more U.S. facilities, with operations expected to begin in early 2027. Agility has also signed an agreement with agricultural equipment manufacturer AGCO to pilot the robot at its Hesston, Kansas, factory in 2027.

Expanding Production and Deployment

Agility is developing Digit 5, its next-generation humanoid robot designed to work in close proximity to people in industrial environments and has reported more than $300 million in committed multi-year orders, subject to contractual milestones.

To support production and deployment, Agility has developed RoboFab, a U.S. manufacturing facility designed to produce up to 10,000 robots annually. It also offers Agility Arc, a cloud-based software platform for deploying and managing robot fleets.

Under the merger terms, existing Agility shareholders will roll 100% of their equity into the combined company. Shares held by those investors and Churchill XI’s sponsor will be subject to a 180-day restriction on sales following the closing, with provisions allowing early release if certain stock price conditions are met.

Churchill XI’s previous Nasdaq listings will end, and its outstanding units have been separated into their underlying securities. Agility also plans to file with the Securities and Exchange Commission to register the resale of certain shares, although those filings will not affect the lock-up restrictions.
